1. Overview
This website is operated by Kirill Melikhov ("I", "me", "my"). Throughout the site, the terms "I", "me", "my" refer to the sole proprietor behind Astrola Studio.
I offer product design, branding, UX audit, and no-code development services. By engaging my services or using this website, you ("Client", "you") agree to the following terms.
2. Solo Operator Notice
I work alone. I personally lead every project from discovery to delivery. There are no account managers, no outsourced teams, and no faceless agency.
If you require a multi-person agency structure or 24/7 team availability, my services may not be the right fit for you.
3. Proposal & Agreement
For each project, I will provide a commercial proposal or Statement of Work (SOW) outlining:
- - Specific deliverables (e.g., wireframes, high-fidelity UI kit, Webflow site);
- - Project timeline (estimated start and end dates);
- - Total project fee.
The commercial proposal, together with these Terms of Service, forms the binding agreement between us. Work begins only after you sign the proposal and pay the required deposit.
4. Payment Terms
- Deposit: A 50% deposit (or as stated in the proposal) is required before any work begins. This deposit is non-refundable as it secures your slot in my limited client queue.
- Final Payment: The remaining 50% is due upon delivery of final assets or before launch.
- Late Payments: If an invoice is overdue by more than 14 days, I reserve the right to pause all work. Late payments incur a fee of 1.5% per month on the outstanding balance.
5. Timeline & Delays
The timeline in the proposal is an estimate based on the information you provide.
- Client Responsibility: You agree to provide timely feedback, content, and assets. Each day you delay providing feedback delays the final deadline by one day.
- Illness / Force Majeure: As a solo operator, if I become seriously ill or face an emergency preventing me from completing the project, I will notify you immediately. You will receive a pro-rata refund for any work not yet completed.
6. Revisions
Each project includes two (2) rounds of revisions per milestone (e.g., wireframes, design mockups) unless otherwise stated in your proposal.
A "revision" means small adjustments to the approved direction. A request to completely change the creative direction (new style, new features) constitutes a new project phase and will be quoted separately.
Additional revision rounds beyond the included amount will be discussed and quoted separately.
7. Intellectual Property (IP)
- Before Final Payment: I retain 100% ownership of all designs, code, and concepts. You may not use any work until it is fully paid for.
- After Final Payment: Upon receipt of full and final payment, I assign all rights to the final deliverables to you. You own the final designs.
- What I Keep: I retain the right to use the final work in my portfolio, social media, and case studies. I also retain ownership of my internal toolkit, reusable code snippets, and design frameworks (licensed to you for this project only).
- Third-Party Assets: If your project requires stock photos, premium fonts, or licensed plugins, you may need to purchase a separate license. I will inform you of this in advance.
8. No-Code Development Specific Terms
- Platform Limits: No-code platforms (Webflow, Bubble, Adalo) have inherent limitations. I will build your project to the best of my ability, but I am not responsible for bugs introduced by the platform's core updates or outages.
- Handoff: Upon final payment, I will transfer ownership of the no-code project to your account (or provide export files). Ongoing hosting fees are your responsibility.
9. Limitation of Liability (Very Important)
This is a standard clause that protects solo professionals like me.
- Cap on Liability: My total liability to you for any claim arising from our agreement is limited to the total fees you have paid me for that specific project.
- No Consequential Damages: I am not liable for any indirect damages, including lost business profits, lost data, or reputation damage, even if I have been advised of the possibility of such damages.
10. Confidentiality
I respect your privacy. I will not share your business plans, metrics, or unreleased product designs with third parties. The only exception is displaying the final work in my portfolio (after launch).
11. Termination
- By You: You may terminate the project at any time. You will pay for all work completed up to the termination date. The deposit is non-refundable.
- By Me: I may terminate the agreement if you fail to pay invoices on time or repeatedly miss feedback deadlines.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Russian Federation. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation within 30 days. If unresolved, the dispute shall be submitted to the competent court in the Russian Federation in accordance with the Civil Procedure Code of the Russian Federation.
